01 — Agreement to Terms
By accessing or using our website and services, you agree to be bound by these Terms of Service. If you disagree with any part of the terms, you may not access our services. These terms apply to all visitors, users, and clients who access or use our services.
02 — Our Services
Strix Devs provides professional digital services, including custom website development, web applications, SaaS platforms, business dashboards, API development, AI automation, UI/UX implementation, maintenance, and software consulting. The scope, deliverables, timeline, and pricing for each project are defined in a separate proposal or agreement. We reserve the right to refuse service where appropriate.
03 — Intellectual Property
Upon full payment, ownership of the final project deliverables is transferred to the client unless otherwise agreed in writing. Strix Devs retains ownership of any pre-existing frameworks, reusable components, internal tools, methodologies, and proprietary code used during development. Open-source software and third-party assets remain subject to their respective licenses. We reserve the right to showcase completed work in our portfolio unless a separate non-disclosure agreement has been signed.
04 — Payment Terms
Project payment terms are outlined in each proposal or agreement. Unless otherwise specified, projects require an upfront deposit before development begins, with the remaining balance due according to agreed milestones or before final delivery. Ownership of deliverables is transferred only after full payment has been received.
05 — Warranty & Support
Strix Devs provides a 30-day post-launch warranty covering bugs directly related to our development work. During this period, we will fix eligible issues at no additional cost. This warranty does not include new features, change requests, third-party service failures, hosting issues, browser updates, or modifications made by anyone other than Strix Devs after project delivery.
06 — Client Responsibilities
Clients are responsible for providing accurate project requirements, timely feedback, approvals, and all necessary content, assets, and credentials required for development. Delays in providing these may impact project timelines. Clients also confirm they have the legal right to use any materials they supply and that such materials do not infringe upon the rights of any third party.
07 — Revisions & Change Requests
Project revisions are provided according to the approved proposal or agreement. Requests that fall outside the original project scope, including additional features, design changes, or new functionality, may require a revised timeline and additional charges. Any scope changes will be discussed and approved before work begins.
08 — Confidentiality
Strix Devs respects the confidentiality of client information. Unless otherwise agreed in writing or required by law, both parties agree to keep confidential business information, project details, and proprietary materials private throughout the project and after its completion.
09 — Limitation of Liability
To the maximum extent permitted by law, Strix Devs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues. Our total liability for any claims shall not exceed the amount paid for the specific service giving rise to the claim.
10 — Termination
Either party may terminate the agreement with written notice. Upon termination, you shall pay for all services rendered up to the termination date. We may terminate or suspend access to our services immediately, without prior notice, for conduct that we believe violates these terms or is harmful to other users or us.
11 — Governing Law
These Terms of Service shall be interpreted in accordance with generally accepted principles of international commercial practice. Any disputes arising from these Terms will first be resolved through good-faith negotiation between both parties. If a resolution cannot be reached, the parties may agree to resolve the matter through arbitration or the appropriate legal jurisdiction specified in the applicable project agreement.
12 — Acceptance of Deliverables
Upon project completion, clients are encouraged to review all deliverables promptly. Unless otherwise specified in the project agreement, deliverables will be considered accepted if no significant issues are reported within seven (7) calendar days of delivery.
13 — Changes to These Terms
Strix Devs may update these Terms of Service from time to time to reflect changes in our services, business practices, or legal requirements. The latest version will always be published on this page with the updated revision date.
